magicJack Reseller Requirements
For your protection and the protection of all Resellers, it is essential that these guidelines be understood and closely followed. Further, and extremely important, if you are selling the magicJack product to others who are in turn reselling it, these resellers too must fully understand and fully follow the same guidelines. You will be directly responsible for them and their actions. You will be accountable for any issues they generate.
The following is a list of magicJack requirements that all Resellers of the product and their organizations must follow. If you are selling to anyone outside your organization who is reselling the product to businesses or consumers, they should immediately be provided these requirements and you should make sure they fully understand them and are committed to following them. The list is not meant to cover each and every requirement but to provide some of the most important.
1.) The product may not be sold to any end-users (the public) for less than $39.95.
2.) Sale of magicJack though eBay or any online auction sites is strictly prohibited.
3.) Without the prior written consent of Proactive, the product may not be, directly or indirectly, marketed the through any marketing channels, other than the Channels listed on Exhibit A of your Agreement.
4.) magicJack may not be marketed through media advertising, direct mail, internet advertising, e-mail marketing, or telemarketing
5.) Sales to retailers with more than 5 stores must be approved in advance, in writing by Proactive.
6.) In some instances magicJack may be marketed online. Prior written permission from Proactive is required. If you are planning to request permission to market magicJack online, please note the following requirements:
A.) You must own or operate an established e-commerce website that offers other appropriate products/services. Websites for the express or predominant purpose of selling magicJack will not receive approval.
B.) Submission of the URL to Proactive is the first step required for approval. Once the URL is approved, approved magicJack copy and photography will be provided. You must then submit how you plan to specifically feature magicJack on the website for final approval.
C.) magicJack(tm) resellers are strictly prohibited from advertising magicJack via Google online advertising tools, including but not limited to Google AdWords, Google AdSense and Google AdLinks.
D.) Resellers are strictly prohibited from using or purchasing, the trademarked term, 'magicJack(tm), for any online Search Engine Optimization, online key word search or online sponsored link marketing and advertising.
E.) Please note that this prohibition will also apply to any use of variations or mis-spellings of the words magic or jack intended to produce the same results. For example, magicalJack, magikJack, majicJack, etc. would all be prohibited.
F.) All online Paid Search advertising is strictly prohibited, for example the use of online search tools provided by Yahoo, MSN, Ask or other search engine companies are also strictly prohibited.
G. ) Likewise, the trademarked term, magicJack(tm) or any terminology utilized to identify the product (e.g.. Never Pay A Phone Bill Again) on the website or packaging may not be used in any URL or search engine optimization for the purpose of selling the product. (You may not use magicJack or any or the above variations in your URL or name of your website under any circumstances. The same applies to the terminology utilized to identify the product as noted above)
H.) The shipping/handling charges may not be less than $6.95.
7.) Any printed materials, point-of sale, or media advertisements must receive prior, written approval from Proactive.
